F4《公司法和商法》被分為八個部分。大綱以介紹總體的英國法律體系開始整個課程，例如法院系統(tǒng)、法律的來源包括人權(quán)法案。然后介紹了債權(quán)法包括合同法和侵權(quán)法。
大綱涉及與財務(wù)相關(guān)的一些法律范圍領(lǐng)域，這些法律領(lǐng)域包括：勞動合同法和公司法。這些法律包括公司的形成和設(shè)立，公司的融資和資本的種類，和經(jīng)營上的管理，公司的管理和規(guī)范，和公司在法律方面將會面臨的危機(jī)。

F4 考試大綱：
F4 Corporate & Business Law (English) 是ACCA 考試中*10的一門法律科目，它的大綱設(shè)置主要涵蓋了：
lEnglish Legal System (英國法律體系)
lLaw of Contract (合同法)
lTort Law (民法)
lLaw of Employment (勞動合同法)
lAgency (代理)
lPartnership (合伙企業(yè))
lCompany Law (公司法), 以及
lProfessional ethics and Corporate Governance (職業(yè)道德與公司治理)。
ACCA F4科目 考試結(jié)構(gòu)：
15分鐘閱讀及180分鐘答題時間，共10題，每題10分，均為必做題，問題內(nèi)容涉及整個大綱，其中：
l第 1-7題為問答題，考官直接在問題中明確要測試的知識點，要求考生回答相應(yīng)法律條款及以往案例。
l第8-10題為案例分析題，考官會給出一個涉及多個人物或組織的案例，問題往往不明確指出所涉及的知識點，需要考生根據(jù)案情自己尋找考點，選擇適用的條款及案例做答，并適當(dāng)加入自己的分析結(jié)論。
在F4 考題由可選題變成必做題后，F(xiàn)4考試的難度也隨之加大，這就要求考生要對大綱中的每一章節(jié)都能熟練掌握，不能遺漏。
ACCA F4科目答題方法：
-考生應(yīng)充分利用考前15分鐘閱讀時間，梳理思路，尤其應(yīng)仔細(xì)閱讀案例分析題，并明確考點，寫下答題綱要，切忌盲目做答。
-每道題應(yīng)在平均18分鐘之內(nèi)完成，答題順序不限。
-答題時寫清題號，段落之間空行，每一大題另起新一頁做答，不要只寫答卷紙的一面。
-問答題的答案必須包含：
Introduction/definition, rule of law, case name, name of Act, Section number
-案例分析題的答案必須包含：
Introduction/definition/declaration of issue, rule of law, case name,
name of Act, Section number, fact analysis, and conclusion.
ACCA F4科目學(xué)習(xí)方法：
作為ACCA fundamental level 中少有的純理論科目，F(xiàn)4 除要求大家能深入地理解大綱涵蓋的知識點之外，還要求每一位考生擁有強大的記憶力，以及邏輯分析能力。尤其是在回答案例分析題時，只有建立在對大綱所有知識點都熟知的前提下，才能針對案情，回答出相對應(yīng)的法律條款及以往案例，在寶貴的3小時考試中，不浪費筆墨寫任何不得分的答案。
勤背筆記，勤看題。建立在理解的基礎(chǔ)上的背誦是通過考試的不二法門，對英語底子不夠的中國考生來說，純理論考試的*5問題在于，如何將自己掌握的知識，通過另一種語言寫出來。‘背’這種方法是解決英語薄弱的有效途徑。此外‘勤’也是通過考試的重要要求，只有通過多看題，勤記憶，特別是多做案例分析題的練習(xí)，才能在考試中準(zhǔn)確快速地找到考點，并流暢地做答。
特別注意：
考生必須用case 來支持答案，但是 fact of the case 是不需要在答案中詳細(xì)摘錄的。在學(xué)習(xí)過程中， fact是幫助理解的極好手段，也是解答案例分析題的極好參考。正確地應(yīng)用statutory legislation，以及section number，在答題中也是必須的。
在上次（2008年12月）考試后，F(xiàn)4考官在他的報告中特別提出了案例、法律文本在答案中作為分析支持的重要性。并且指出，缺少案例以及法律文本的引用是考生們在整個考試中的不足之處，也是考生難以得高分的重要原因。
F4考官在他的報告中還強調(diào)，Companies Act 2006（CA 2006）已經(jīng)出現(xiàn)在ACCA F4最近的2次的考試中了，但是從這2次的考試結(jié)果來看，很多考生沒有認(rèn)識到CA 2006 與CA 1985之中的變化，在答題過程中仍使用老CA 1985的知識來作答，因此白白花費了大量考前準(zhǔn)備以及考試中寶貴的時間。
考官傾向于將CA 2006中的新變化，以及新加入的Tort Law作為考題，所以考生必須保證其準(zhǔn)備的考試材料都已更新。參加好的培訓(xùn)班，并擁有一份*7的練習(xí)冊，是順利高分通過考試的必要前提。
